This Video Submission Agreement (“Agreement”) is entered into by and between Flakedemic (“Company”), collectively referred to as the “Parties.”

1. Purpose of Agreement

The purpose of this Agreement is to set forth the terms and conditions under which User agrees to submit a video (“Video”) to the Company for potential use on the Company’s social media channels.

2. Video Submission

User agrees to submit the Video to the Company for potential use on its social media channels, including but not limited to platforms such as Facebook, Instagram, Twitter, YouTube, and LinkedIn.

3. Grant of Rights

By submitting the Video, User grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the Video on its social media channels for promotional and marketing purposes.

4. Content Responsibility

User acknowledges and agrees that they are solely responsible for the content of the Video submitted to the Company. User represents and warrants that the Video does not infringe upon any third-party rights, including but not limited to copyrights, trademarks, privacy rights, or publicity rights.

5. Release of Liability

User hereby releases, waives, and discharges the Company from any and all claims, liabilities, damages, losses, or expenses arising out of or in any way related to the use of the Video by the Company on its social media channels. User agrees to indemnify and hold the Company harmless against any such claims brought by third parties.

6. Consent to Use

User acknowledges and agrees that by submitting the Video, they consent to its use by the Company on its social media channels in accordance with the terms of this Agreement.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without giving effect to any principles of conflicts of law.

8. Entire Agreement

This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written.

9. Amendments

No amendment or modification of this Agreement shall be valid or binding unless in writing and signed by both Parties.

10. Acknowledgment

By submitting the Video, User acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
